Decks by Hashed Skulls License Terms
Effective Date: October 16, 2026
1. Acceptance and Scope
Decks by Hashed Skulls is a digital art project featuring 600 Deck NFTs inspired by the Hashed Skulls universe, including 594 Deck NFTs featuring Hashed Skulls characters and six (6) Flagship Deck NFTs featuring the Hashed Skulls logo.
For the purposes of these License Terms:
- “Deck NFT” means a non-fungible token issued as part of the Decks by Hashed Skulls project and associated with a specific Deck artwork.
- “Regular Deck NFT” means any Deck NFT in the project other than a Flagship Deck NFT.
- “Flagship Deck NFT” means one of the six (6) designated Flagship Deck NFTs featuring the Hashed Skulls logo and intended to serve as a complementary asset within the project's set-completion mechanics.
- “Deck Artwork” means the complete artwork associated with a specific Deck NFT.
- “Hashed Skull Character” means an individual character belonging to the Hashed Skulls intellectual property universe.
By acquiring or holding a Deck NFT, you acknowledge that you have had the opportunity to review these License Terms and agree to be bound by them, subject to applicable law.
These License Terms govern the use of Deck Artwork and establish the specific rights granted to holders of Regular Deck NFTs and Flagship Deck NFTs.
2. License Grant
Ownership of a Regular Deck NFT grants the holder a limited, non-exclusive, worldwide license to use, display, reproduce, distribute, and commercially exploit the complete Deck Artwork associated with that specific NFT, strictly in accordance with these License Terms.
This license permits use of the complete Deck Artwork across any medium, product category, or commercial application, including apparel, accessories, physical products, prints, digital content, advertising, and other creative or commercial projects.
The artwork must be used as a complete composition. The license does not permit the extraction, isolation, or independent commercial exploitation of any individual character, figure, object, or other element contained within the composition.
Reasonable resizing and technical formatting are permitted when necessary to apply the complete artwork to different products or media, provided that the composition remains complete and no individual element is independently exploited.
The license is limited to the specific Deck Artwork associated with the Regular Deck NFT held by the holder. It does not grant rights to other Deck artworks or other intellectual property owned by Hashed Skulls.
Flagship Deck NFTs are expressly excluded from the commercial license granted under this section. Ownership of a Flagship Deck NFT does not grant a license to reproduce, distribute, manufacture products featuring, or otherwise commercially exploit its artwork, except for displaying, listing, transferring, or reselling the token itself as permitted under these License Terms.
Any commercial use of Flagship Deck Artwork requires prior written authorization from Hashed Skulls.
3. No Transfer of Brand or Character Ownership
Ownership of a Deck NFT grants ownership of the digital token and only the licenses expressly granted under these License Terms.
It does not grant ownership or independent commercial rights to the Hashed Skulls brand, name, trademarks, logos, visual identity, narrative universe, official lore, or any other brand-level intellectual property.
A Regular Deck Artwork may depict a Hashed Skull Character. The license expressly permits the holder to use and commercially exploit that character as an inseparable part of the complete Deck Artwork.
However, owning a Regular Deck NFT does not grant the right to extract, isolate, reproduce, or commercially exploit the depicted Hashed Skull Character as an independent design, nor does it grant the rights associated with the corresponding Hashed Skull NFT.
The commercial rights to independently use and exploit a specific Hashed Skull Character remain governed by the applicable license for that character's Hashed Skull NFT.
This distinction applies regardless of whether the Deck NFT holder also owns the corresponding Hashed Skull NFT. Any additional rights arising from ownership of a Hashed Skull NFT are governed by the applicable license for that NFT.
Ownership of a Flagship Deck NFT does not grant independent commercial rights to the Hashed Skulls logo, name, trademarks, brand identity, or any Hashed Skull Character.
The wildcard or set-completion function of a Flagship Deck NFT does not grant ownership of, or independent commercial rights to, any Hashed Skull Character. Any rights to claim or acquire a character through the project's set-completion mechanics are subject to the official rules of the project and the applicable license for the claimed character NFT.
The inclusion of a Hashed Skulls name, logo, or other brand element within any Deck Artwork does not grant independent trademark rights or permission to establish a separate brand using those elements.
4. Permitted Commercial Use
While maintaining continuous ownership of a Regular Deck NFT, the holder may commercially exploit the complete associated Deck Artwork across any product category, medium, or commercial project, subject to these License Terms.
This includes, without limitation, the production and sale of apparel, accessories, physical goods, printed materials, digital products, and other merchandise featuring the complete Deck Artwork.
The holder may use third-party manufacturers, printers, suppliers, and service providers to produce or distribute products on the holder's behalf, provided that such third parties use the artwork solely for that purpose and do not acquire independent rights to exploit it.
Commercial use under this license is non-exclusive and does not grant exclusivity by product category, territory, or market.
Commercial use is subject to a gross revenue limitation of one hundred thousand United States dollars (USD $100,000) per project, per calendar year, regardless of the number of Regular Deck NFTs used within that project.
Any commercial activity that exceeds, or is reasonably expected to exceed, this threshold requires a separate written licensing agreement with Hashed Skulls before the activity exceeding the permitted scope is undertaken.
A separate written agreement is also required for any arrangement that grants third parties independent rights to exploit the artwork, or that seeks exclusive rights or rights to the Hashed Skulls brand beyond those expressly granted in these License Terms.
The revenue threshold does not restrict the permitted product categories or media in which the complete Deck Artwork may be used. It defines the commercial limit of the license.
The commercial permissions in this section do not apply to Flagship Deck NFTs. Their artwork may not be used for commercial products or other independent commercial exploitation without prior written authorization from Hashed Skulls.
Hashed Skulls retains the right to use, reproduce, adapt, distribute, license, and commercially exploit its own artwork, characters, brand, and intellectual property, including Deck Artwork, across all product categories, markets, and channels.
5. Intellectual Property and Derivative Works
All intellectual property rights not expressly granted under these License Terms remain with their respective rights holders.
For Regular Deck NFTs, the holder may resize, reformat, and make technical adaptations to the complete Deck Artwork as reasonably necessary for permitted commercial applications, provided that the complete composition remains intact.
No permission is granted to create or commercially exploit independent derivative works from an individual character, figure, object, or other element extracted from Regular Deck Artwork.
The holder may not use the artwork or its elements to establish a separate brand, character identity, or standalone intellectual property asset derived from the Hashed Skulls universe.
Products and projects featuring Regular Deck Artwork may not be presented in a manner that falsely suggests official endorsement, sponsorship, affiliation, or authorization by Hashed Skulls beyond the rights expressly granted under these License Terms.
Flagship Deck Artwork is excluded from the derivative-work and commercial permissions granted to holders of Regular Deck NFTs. No commercial reproduction, adaptation, or distribution of Flagship Deck Artwork is authorized without prior written permission from Hashed Skulls.
No trademark, copyright, or other intellectual property ownership rights may be registered or claimed by a holder in connection with Deck Artwork, its individual elements, or the Hashed Skulls brand.
6. Prohibited Uses
The Deck Artwork may not be used in connection with unlawful activity, hate speech, explicit adult content, or other activities that infringe applicable law or materially harm or misrepresent the Hashed Skulls brand or intellectual property.
Holders may not represent themselves, their products, or their projects as official, endorsed, sponsored, or affiliated with Hashed Skulls beyond the rights expressly granted under these License Terms.
Holders of Regular Deck NFTs may not extract or independently exploit individual elements of the complete artwork.
Holders of Flagship Deck NFTs may not commercially reproduce, distribute, manufacture products featuring, or otherwise commercially exploit Flagship Deck Artwork without prior written authorization from Hashed Skulls.
Displaying a Flagship Deck NFT, using its image as reasonably necessary to list or resell the token, or transferring the token does not, by itself, constitute a grant of commercial reproduction rights to its artwork.
Nothing in these License Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship between Hashed Skulls and any holder.
7. Indemnification
To the extent permitted by applicable law, holders are responsible for their independent commercial activities and agree to indemnify Hashed Skulls against third-party claims, damages, and liabilities arising directly from their unlawful commercial conduct or material violation of these License Terms.
This provision applies only to matters resulting from the holder's own actions and does not extend to activities directly performed or authorized by Hashed Skulls.
The scope and enforceability of this provision remain subject to applicable law.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Hashed Skulls shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from a holder's independent commercial activities or misuse of Deck Artwork.
Nothing in these License Terms excludes or limits any liability, duty, or remedy that cannot legally be excluded or limited under applicable law.
This section does not affect any mandatory rights or protections available to a holder under applicable law.
9. Force Majeure
Hashed Skulls shall not be liable for delays, interruptions, or failures to perform resulting from causes beyond its reasonable control, including changes in laws or regulations, governmental actions, blockchain network disruptions, smart contract failures not directly caused by Hashed Skulls, cybersecurity incidents, infrastructure outages, marketplace policy changes, or other technological events outside its reasonable control.
Nothing in this section excuses obligations that can reasonably continue to be performed despite such events or limits rights that cannot legally be excluded.
10. Breach, Transfer, and Termination of License
The license granted to a holder of a Regular Deck NFT exists only while the holder owns the corresponding Deck NFT.
Upon a valid sale or transfer of a Regular Deck NFT, the license automatically transfers to the new owner, and the former holder's license rights terminate, subject to the limited inventory provision below.
Flagship Deck NFTs do not grant a commercial license. Their ownership, display, transfer, resale, and use within the project's set-completion mechanics remain subject to these License Terms and the official rules of the project.
In the event of a material breach of these License Terms, Hashed Skulls may suspend or terminate the holder's license rights after providing reasonable notice and an opportunity to remedy the breach where appropriate and legally required.
Immediate action may be taken where reasonably necessary to prevent significant harm to the brand, intellectual property, or third parties, subject to applicable law.
Existing Commercial Inventory
If a holder of a Regular Deck NFT has manufactured finished physical products featuring the complete artwork in compliance with these License Terms before transferring the Deck NFT, the former holder may continue selling that existing inventory for a period of ninety (90) days following the transfer, provided that no additional units are manufactured and no new commercial production run is initiated during that period.
This limited sell-through permission does not authorize new uses of the artwork, new manufacturing, or independent exploitation of any character or other element.
This inventory provision does not apply to Flagship Deck NFTs, for which no commercial license is granted under these License Terms.
11. Secondary Sales and Royalties
Upon any valid resale or transfer of a Regular Deck NFT, the license rights automatically transfer to the new owner under the version of these License Terms applicable to that transfer.
Flagship Deck NFTs may be transferred or resold as digital tokens, but such transfers do not grant the buyer a commercial license to reproduce or exploit the Flagship Artwork.
Any royalties applicable to secondary-market sales of Deck NFTs are governed by the relevant smart contract configuration and marketplace mechanisms, where technically supported and disclosed.
These secondary-sale royalties are separate from the commercial rights granted under these License Terms. No additional royalty is owed solely because a holder commercially exploits the complete Regular Deck Artwork within the permitted scope of this license, unless a separate written agreement expressly provides otherwise.
12. Governing Law and Jurisdiction
These License Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil, subject to applicable mandatory law.
Any dispute shall be submitted to the competent courts of the State of Rio de Janeiro, Brazil, where legally permissible and without prejudice to mandatory jurisdiction or consumer-protection rules that may apply.
Nothing in this section limits any mandatory rights available to consumers or other protected parties under applicable law.
13. Amendments
Hashed Skulls may publish updated versions of these License Terms from time to time.
The version applicable to a holder's acquisition shall be made available at the time of acquisition. New versions apply to subsequent acquisitions from the date they take effect.
No amendment shall retroactively reduce rights already granted to an existing holder without the holder's agreement or other lawful basis, subject to mandatory law.
Upon a valid transfer of a Deck NFT, the new holder receives the license under the version of these License Terms applicable to that transfer.
14. Notice and Acceptance
These License Terms shall be made available through the official Decks by Hashed Skulls website or mint interface before a primary acquisition.
Where the acquisition is made through an interface operated by Hashed Skulls, the holder shall be given a reasonable opportunity to review the terms and provide express acceptance before completing the purchase or mint, where technically feasible and subject to applicable law.
For secondary-market acquisitions, these terms should remain publicly accessible so that prospective buyers can review the applicable license before acquiring a Deck NFT, subject to applicable law.
